Partner Agreement

1. Relationship

This Agreement is between DukaanFlow ("Company") and the individual applying to become a DukaanFlow Partner ("Partner"). The Partner is an independent contractor, not an employee, agent (in the legal sense), or joint venture partner of the Company. Nothing in this Agreement creates an employer-employee relationship.

2. Role & Responsibilities

The Partner agrees to:

• Introduce and demonstrate the DukaanFlow app to shop owners accurately and honestly.
• Not make false, exaggerated, or unauthorized claims about DukaanFlow's features, pricing, or support.
• Not represent themselves as an employee, officer, or legal agent of DukaanFlow.
• Use only referral links, codes, and materials provided by DukaanFlow, and not create unauthorized marketing materials using the DukaanFlow name or logo without permission.

3. Commission Structure

• Monthly Pro plan referrals: ₹50 for the first month a referred shop pays, and ₹19 for each subsequent month the shop remains on the Pro plan.
• Yearly Pro plan referrals: a one-time flat bonus of ₹150.
• Commission is credited only after DukaanFlow has received actual, cleared payment from the referred shop via Razorpay. No commission is payable for Free-plan signups.
• DukaanFlow reserves the right to change commission rates for future referrals with reasonable notice. Commission already earned on existing referrals will not be reduced retroactively.

4. Referral Attribution

A shop that signs up using the Partner's referral code or link is permanently attributed to that Partner for as long as the shop remains a customer, unless DukaanFlow determines in good faith that the referral was fraudulent or invalid.

5. Payment Terms

• Payouts are made monthly via UPI to the bank/UPI details provided by the Partner, provided the Partner's pending commission balance is at least ₹200. Balances below this threshold carry forward to the next payout cycle.
• If a referred shop's payment is refunded or reversed within 7 days of payment, any commission already credited for that payment will be deducted from the Partner's future payouts.
• The Partner is solely responsible for reporting and paying any applicable income tax on commissions received. DukaanFlow may deduct tax at source (TDS) as required under applicable Indian tax law before making payouts.
• It is the Partner's responsibility to provide accurate payment details. DukaanFlow is not liable for payments sent to incorrect UPI IDs provided by the Partner.

6. Fraud & Prohibited Conduct

The Partner shall not create fake accounts, self-refer, or otherwise attempt to manipulate the referral or commission system. Any such conduct is grounds for immediate termination of this Agreement and forfeiture of any unpaid pending commission associated with the fraudulent activity.

7. Term & Termination

Either party may terminate this Agreement at any time, with or without cause. Upon termination, commission already earned and verified as legitimate up to the termination date will still be paid out according to the normal payout schedule. Referred shops remain attributed to the Partner's historical referrals only for commission already accrued before termination; no further recurring commission accrues after termination.

8. Confidentiality

The Partner agrees to keep any non-public information about DukaanFlow's business, pricing strategy, or shop customer data confidential, and to use shop owner information only for the purpose of onboarding and supporting that shop on DukaanFlow.

9. Limitation of Liability

To the maximum extent permitted by law, DukaanFlow's total liability to the Partner under this Agreement is limited to the amount of commission owed and unpaid at the time a claim arises.

10. Governing Law

This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Indore, Madhya Pradesh, India.

11. Changes to This Agreement

DukaanFlow may update this Agreement from time to time. Continued participation in the Partner program after changes are posted constitutes acceptance of the updated terms.
